This Privacy Notice (“Privacy Notice”) is issued by MSB Technologies, Inc., doing business as Guildara (“Guildara,” “Company,” “we,” “us,” or “our”) and describes how we collect, use, disclose, process, and otherwise handle Personal Information (as defined below), as well as the rights and choices available to individuals with respect to such information.

By accessing or using our Services (as defined below), you acknowledge that you have read, understood, and agree to be bound by this Privacy Notice.

The notifications provided by this Privacy Policy include: 

1. SCOPE AND MODIFICATIONS TO THIS PRIVACY NOTICE

This Privacy Notice applies to all Personal Information processed by us in connection with our websites, applications, and related online and offline services (collectively, the “Services”).

We reserve the right, in our sole discretion, to modify or update this Privacy Notice at any time. Where required by applicable law, we will provide notice of material changes. Your continued use of the Services following the effective date of any revised Privacy Notice constitutes your acceptance of such changes.

2. PERSONAL INFORMATION WE COLLECT

For purposes of this Privacy Notice, “Personal Information” means any information that identifies, relates to, describes, or can reasonably be associated with an identified or identifiable individual.

We collect Personal Information from the following categories of sources:

A. Personal Information You Provide Directly

Account Registration

We collect Personal Information when you register for an account, including:

• Providers: name, email address, telephone number, physical address, and professional credentials or related information.

• Guardians: name, email address, telephone number, physical address, and information relating to minors under your care, including but not limited to:

  • Name, date of birth, and contact information

  • Attendance records and activity participation

  • Health, dietary, or other medical information

  • Educational or academic information

  • Government-issued identifiers, where applicable

By using our Platform, you represent and warrant that you have all necessary rights, consents, and legal authority to provide any Personal Information disclosed relating to minors.

Transactions and Payments

We collect transaction-related information, including billing details. Payment card data is processed by third-party payment processors, and we do not store full payment card numbers.

Guildara uses Stripe to process payments and store payment methods securely on our behalf. We do not process payments
ourselves or collect payment card or bank account information. Any such financial account data is provided by you directly to Stripe and not to us.

If you choose to save a payment method, you authorize Guildara (and the provider you register with, as applicable) to charge it for future installment payments for your registration.

To stop future installment charges, you must cancel the registration first, subject to the applicable Cancelation Policy. After canceling, you may remove the saved payment method.

Communications

We collect Personal Information when you communicate with us, including for support, inquiries, or marketing subscriptions.

User-Generated Content

We collect personal information associated with any content submitted via interactive features (e.g., forums, messaging, or public postings).  Please note that your use of these interactive features may be publicly accessible and such use is done at your own risk.

Additional Sources

We may collect Personal Information through any use of our Platform, or other interaction with Guildara (both online and offline), including, but not limited to:

• Surveys, promotions, and contests

• Events and conferences

• Business development activities

• Employment applications

B. Personal Information Collected Automatically

We automatically collect certain information regarding your interaction with the Services, including:

• IP address, device identifiers, and browser characteristics

• Usage data (pages viewed, links clicked, session duration)

• Approximate geolocation data

• Cookies and similar tracking technologies

What are cookies? This Cookie Policy explains what cookies are, how we use them, the types of cookies we use (i.e., the information we collect using cookies) and how that information is used.

3. PURPOSES FOR PROCESSING PERSONAL INFORMATION

We process Personal Information for the following lawful purposes:

A. Performance of a Contract

• Providing, maintaining, and improving the Services

• Managing your information, accounts and transactions associated with your use of the same.

• Facilitating bookings for Activities and interactions between users, and between users and Providers.  

• Communicating with you regarding your account, your registrations for Activities, and material changes to our policies

• Responding to customer service requests, or requests for technical support

B. Legitimate Business Interests and Administrative Purposes

• Security of the Platform’s network and information, including detection of fraud, theft, and any deceptive, malicious, or illegal activity; this shall include prosecution of those responsible for the same, to the maximum extent permitted by law  

• Product development and analytics associated with existing products.

• Marketing, marketing research and advertising (where permitted by law)

• Improving, enhancing, or otherwise upgrading the Platform and Services

• Internal auditing, compliance, and quality assurance

• Enforcement of our Terms and other policies

• Identifying and repairing any errors with the Services and Platform, by debugging

• Measuring engagement with the Platform and Services

• Sharing personal information with third-parties, as required to provide our Services

C. Legal Obligations

• Compliance with applicable laws, regulations, and legal processes, and carrying out any activities required for such compliance.

D. Consent

• Where required by law or regulation, we process Personal Information based on your explicit consent, which may be withdrawn at any time.

E. Automated Decision-Making

We may engage in automated processing, including profiling. We will not engage in solely automated decisions producing legal or similarly significant effects without your consent, or without appropriate legal basis.

F. De-Identified Data

We may aggregate information collected herein, and remove any personally identifiable information. This aggregated and/or de-identified data may be used for any lawful purpose.  This may include, but is not limited to, demographic data, information about devices accessing our Services, and any other analysis associated with our Services.

4. DISCLOSURE OF PERSONAL INFORMATION

We may disclose Personal Information to the following categories of recipients:

A. Other Users (Providers and Guardians)

Personal Information may be shared between users, and users and Providers, to facilitate Services. This may include sensitive information relating to minors.

You acknowledge that:

• Such disclosures are integral to the functionality of the Services

• Other users act as independent controllers of such data

B. Service Providers

We engage third-party vendors to perform services on our behalf, including hosting, payment processing, analytics, advertising and customer support.

C. Third-Party Services

Any interactions with third-party services, including Providers offering Services on our Platform,   are governed by their respective privacy policies. We disclaim responsibility for third-party practices, and we are not responsible for any third-party services.

D. Business Partners and Affiliates

We may share information with affiliated entities and partners for operational and commercial purposes, including to provide you with our Services.  

E. Advertising Partners

We may share or make available Personal Information for interest-based advertising, subject to applicable law.  These third-party advertisers may also use tracking tools on our Services to collect Personal Information regarding your activities and your device (e.g., IP address, cookie identifiers, page(s) visited, location, time of day), to provide you with personalized advertisements. 

F. Legal and Regulatory Disclosures

We may disclose Personal Information where necessary to:

• Comply with legal obligations if we, in good faith, believe doing so is required or appropriate 

• Comply with law enforcement or national security requests, or other legal processes (e.g., a court order or subpoena)

• Enforce agreements or other contracts, our Terms, and our policies 

• Protect your, our own, or others’ rights, safety, and/or property

• Collect amounts owed to us

• Assist with any investigation or prosecution of suspected or actual illegal activity 

G. Corporate Transactions

In the event of a merger, acquisition, financing due diligence, reorganization, bankruptcy, receivership, purchase or sale of assets, or transition of service to another provider, Personal Information may be transferred as part of the transaction, as permitted by law and/or contract.

5. YOUR PRIVACY RIGHTS AND CHOICES

Subject to applicable law, you may have the right to:

• Access and obtain a copy of your Personal Information

• Request correction or deletion of your Personal Information

• Restrict or object to processing of your Personal Information

• Request data portability

• Withdraw consent

We may require identity verification prior to fulfilling requests.

Marketing Communications

You may opt out of marketing communications via provided mechanisms (for example, by selecting “Unsubscribe,” and following the required steps at the bottom of a promotional email).  Transactional communications are not subject to opt-out.

Cookies and Tracking

You may manage cookie preferences through your browser settings. Disabling cookies (especially those which are necessary, functional, or related to performance) may affect functionality of the Platform and our Services.

We do not currently respond to web browser “do not track" signals

6. SECURITY

We implement reasonable administrative, technical, and physical safeguards. However, no system is completely secure, and we disclaim liability to the fullest extent permitted by law for unauthorized access or breaches and any loss and/or damages associated with the same.

By using our Services or providing Personal Information to us, you consent to any electronic communication we may provide in connection with any security, privacy, or administrative issues or system breaches relating to your use of our Services.

7. INTERNATIONAL DATA TRANSFERS

Your Personal Information may be transferred to jurisdictions with differing data protection laws. Where required, we implement appropriate safeguards, including standard contractual clauses.

8. DATA RETENTION

We retain Personal Information for as long as necessary to:

• Provide the Services

• Fulfill legal and contractual obligations

• Resolve disputes and enforce agreements

• Conduct audits

• Pursue legitimate business purposes

• Comply with applicable laws

9. SUPPLEMENTAL PRIVACY DISCLOSURES

If you are a California resident, you have rights under the California Law, including:

• Right to know categories and sources of Personal Information

• Right to delete Personal Information

• Right to opt out of “sale or share” (as defined by law)

• Right to non-discrimination

We do not knowingly sell Personal Information of minors under 16.

11. CHILDREN’S INFORMATION

The Services are not directed to children under 18. However, we may process minors’ Personal Information when provided by a parent or guardian, or provided by a minor under the supervision of a parent or guardian, as allowed under the Terms. 

You represent that you have lawful authority to provide such information. We reserve the right to delete data collected in violation of applicable law.

Third-Party Links

We do not have control over, and are not responsible for third-party websites or services linked through the Services.  We do not endorse, screen, or approve, and are not responsible for, the privacy practices or content of such other websites or applications. Providing personal information to third-party websites or applications is at your own risk. 

Limitation of Liability

To the maximum extent permitted by law, we disclaim liability arising from third-party actions, unauthorized access, or user misuse of Personal Information.

Supervisory Authorities

Individuals in certain jurisdictions may lodge complaints with relevant data protection authorities.
